Biormika Privacy Policy

1. Scope
Biormika, LLC (“Biormika”, “we”, “us”, “our”) owns and operates www.biormika.com and related websites and subdomains (“Sites”) and offers certain applications and services through the Sites. This Privacy Policy (“Policy”) applies to the Sites owned and operated by Biormika.
Biormika offers a cloud-based, Software as a Service (SaaS) platform (“Platform”) for processing biologic data obtained from human subjects (“Subjects”) through multiple apps and services (collectively “Offerings”). Authorized users designated by persons or entities (“Customers”), under a Master Service Agreement with Biormika, can access our Platform and Offerings.
This Policy applies to information Biormika collects directly from visitors to the Sites, prospective customers, account administrators, customer personnel, and authorized users when interacting with the Sites or establishing and managing Platform accounts.
This Privacy Policy does not apply to data, content, files, records, biologic data, neurological recordings, research data, or other information uploaded, stored, transmitted, or otherwise made available to the Platform by or on behalf of a Customer (“Customer Data”).
Biormika’s Customers control the nature and purpose of the Customer Data they submit to the Platform. In connection with Customer Data, Biormika generally acts as a service provider, processor, contractor, or similar role under applicable Data Protection Laws and processes Customer Data on behalf of and pursuant to the instructions of the applicable Customer.
Customers are responsible for determining the lawful basis for collection and processing of Customer Data; providing all required privacy notices to research participants, subjects, patients, and other individuals; obtaining all required consents, permissions, authorizations, approvals, or institutional review board (“IRB”) approvals; responding to privacy rights requests relating to Customer Data; and ensuring that Customer Data may lawfully be disclosed to Biormika for processing.
Individuals seeking information regarding Customer Data, including requests to access, correct, delete, or otherwise exercise privacy rights relating to Customer Data, should contact the applicable Customer directly.
Biormika’s processing of Customer Data is governed by the applicable customer agreement, including the Master Service Agreement and any applicable Order Form.
2. Purpose.
The purpose of this Policy is to inform you how Biormika collects, stores, uses, discloses, or otherwise processes your personal data (“Personal Data”, “Personal Information”). The terms Personal Data and Personal Information are used interchangeably throughout this Policy to describe the information that alone or in combination with other information in our possession could be used to identify you, either directly or indirectly. Personal Information does not include aggregated, de-identified, and/or anonymized information, i.e., when the information has been transformed so that it no longer relates back to a person’s identity.
By accessing or using the Sites, you acknowledge that you have read and understand this Policy. This Policy covers:
- What personal data we collect and how we collect it
- How we use your personal data
- Third party access to your personal data
- How we protect your personal data
- How we use cookies
- How long we retain your personal data
- Your rights to deletion of data
3. Data We Collect.
We only collect and store data that helps us achieve the purpose set out in this Policy.
Personal Data provided by you.
To use our Platform or Offerings, you will need to create an account with Biormika. If you choose only to interact with the company’s Site without purchasing or subscribing to our Platform, which includes without limitation, emailing, messaging, or signing up for special offers or newsletters, you will still be required to provide a limited amount of information. As part of the sign-up process, we may collect and store the following Personal Data or non-personal information: first and last name; mailing address; email address; phone number; name of your employer; job title; certain details of your hardware and software platforms, including manufacturer’s name, model name, and version number; and projected volume of your data processing needs.
Sensitive personal information and research data.
Depending on how Customers configure the Platform, Customer Data may include highly sensitive information relating to research participants, including neurological recordings, biologic measurements, device-generated data, health-related information, pseudonymized identifiers, and other information regulated under applicable privacy or health data laws.
Biormika does not intentionally collect such information directly from visitors to its Sites. Any such information uploaded to the Platform by Customers is processed solely on behalf of the applicable Customer and in accordance with applicable contractual restrictions. If you purchase our Offerings, we may collect and store the following Personal Data to process your transaction: billing details; and payment instrument details such as credit card, debit card, bank routing and account, or any other instrument.
Data collected automatically by us.
When you visit and use our Sites, we may automatically collect and store the following Information (“Usage Data”). Although most Usage Data does not include personal information, the following types of Usage Data may include personal information: IP address; login details; general, non-precise location; hardware and software details of your device; browser details; clicked links; content viewed; domain names; access times; language; and referring website address.
Data we receive from third parties.
We may receive information about you from third party sources, such as public databases and websites, resellers and distributors, joint marketing or business partners, security and fraud detection firms, social media platforms, and event organizers (such as trade shows, webinars, seminars, or conferences). Such information may include page-view information; contact information from our business affiliates with whom we conduct industry events or marketing campaigns or provide joint offerings; and search results from paid listings.
Our legal basis for collecting and using your Personal Data described above will depend on the personal information concerned and the context in which we collect it. For those jurisdictions requiring a specific legal basis for processing personal information, we will normally collect personal information where we have your consent to do so, where we need the personal information to perform a contract with you, or where the processing is in our legitimate interests and not overridden by your data protection interests or fundamental rights and freedoms. In some cases, we may have a legal obligation to collect personal information from you. If we ask you to provide personal information to comply with a legal requirement or to fulfil a contract with you, we will notify you at that time.
4. Use of Collected Data.
We use collected Personal Data for purposes specified in this Policy or as specified on the relevant pages of our Site. We will not use your Data beyond what we disclose in this Policy. The Data collected automatically is used to:
- give you the information you requested;
- administer your account;
- process payments;
- comply with legal and regulatory requirements;
- deliver the services you requested including customer support;
- send you related information, including confirmations, invoices, technical notices, updates, security alerts, and support and administrative messages;
- notify you about changes to our Sites, Platform, or Offerings;
- analyze usage patterns, measure engagement, and track performance metrics to improve our Sites, Platform, or Offerings or enhance user experience;
- conduct internal research and development to detect bugs, report errors, improve performance, maintain the quality and safety of our services;
- enforce our rights arising out of any contracts entered between you and Biormika, including billing and collection;
- enhance security, monitor identity and service access, combat fraud, spam, malware or other network and/or information security risks;
- understand your preferences to personalize your experience when visiting our Sites or using our services;
- inform you of other products or services available from Biormika or its affiliates;
- send you direct and online advertising, sales, and promotional communications in accordance with your marketing and cookie preferences;
- process your information for other legitimate purposes to enhance our business, such as surveys, data analysis, audits, feedback, usage trends, marketing campaigns, and customer relationships.
Biormika may create, collect, and use aggregated, anonymized, de-identified, or statistically derived information that does not identify any individual, Customer, or research participant for product improvement, security monitoring, benchmarking, analytics, service enhancement, research, development, and business operations.
Automated analysis tools.
The Platform may utilize automated processing, signal processing algorithms, machine learning models, statistical tools, and other computational methods to analyze data and generate outputs, visualizations, detections, classifications, reports, and research insights. Such outputs are intended solely to support research activities and are not intended to replace professional medical judgment, diagnosis, treatment, or patient management decisions.
We may store and process your Personal Data in the United States and other countries. We will not process your Personal Data for materially different, unrelated, or incompatible purposes without notifying you first and obtaining your consent.
5. Sharing Personal Data with Third Parties.
We may disclose your Personal Data to any member of Biormika or its affiliates, who needs access to your data to achieve any purpose that falls within the scope of this Policy set forth above.
We may share your Personal Data with trusted partners who provide services to Biormika such as communication tools, authentication, statistical analysis, customer support, payment processing, billing and collections, marketing, and fraud detection. All such third parties shall be prohibited from using your Personal Data except to provide the specified services to Biormika, and they will be required to maintain the confidentiality of your Personal Data.
We may share your Personal Data with our affiliates that offer or provide goods or services to users through or in association with Biormika, either alone or in conjunction with us, on our Platform or Sites. We will only share your Personal Data with our affiliates to the extent that it is necessary for the transaction. We do not have authority over the practices of our affiliates, including their privacy policies. Therefore, if you opt to participate in any transactions associated with our affiliates (via clicking and accessing third-party websites or applications), we encourage you to review their policies carefully as you will be subject to the third-party’s terms and conditions and privacy policies and will not be subject to this Policy.
We may disclose or transfer any information we collect to a third party in the event of a merger, sale of our assets, financing, or acquisition of all or a portion of our business. In these situations, Personal Data may be transferred to the new entity. The new entity will be required to comply with our privacy policy and to use the personal data in accordance with this Policy. In such instances, we will make reasonable efforts to notify our Customers via email or on our Sites.
We will not sell, rent, or lease your Personal Data to third parties without your express consent. Notwithstanding the above, we will share your Personal Data with other third parties for the following reasons: (a) it is required by law; (b) it is required for any legal proceeding; (c) to defend our legal rights; and (d) to protect the personal safety of other users of our Sites, Platform, or Offerings.
6. Targeted online Advertisements.
We may use third party service providers to serve ads about our Platform and Offerings on other websites. These third parties may automatically collect and use information about your online activities, such as your IP address, ISP, and the browser. They may collect your information by using cookies, pixel tags, clear gifs, or similar tracking technologies. We use the information collected, alone or in combination with information about you that we obtain from other sources to deliver advertising targeted to your interests, including serving ads related to our Offerings when you access and use other websites. This Policy does not apply to, and we are not responsible for the tracking technology used by third parties, and we encourage you to check their privacy policies.
7. Security of Data.
We maintain administrative, technical, and physical safeguards designed to protect Personal Data against unauthorized access, disclosure, alteration, or destruction. Such safeguards may include role-based access controls, authentication measures, encryption technologies, logging and monitoring tools, vulnerability management practices, backup and disaster recovery processes, workforce confidentiality obligations, and vendor due diligence procedures.
Our servers and databases are located in the United States, and we do not offer storage options in data centers located in other territories. Therefore, by using our services, you agree and acknowledge that your Personal Data may be transferred and stored in the United States, which may have different data protection laws than the country in which you reside.
We take all reasonable measures to protect your Personal Data to prevent loss, misuse, and unauthorized access, disclosure, alteration and destruction. Our staff, who may have access to your Personal Data, are required to keep your personal information confidential. Despite this, there is always the risk of data breach and harm. The Internet or any wireless network can be insecure at times, and therefore, you acknowledge that there are data security, privacy, and integrity limitations inherent to the Internet that are beyond our control and the data exchanged between you and us through this site cannot always be guaranteed.
8. Data Retention and Deletion.
We retain your Personal Data as long as it is necessary for us to carry out our obligations or as long as it is required by law.
Upon receipt of a verifiable request from you, we will delete your Personal Data from our records and direct any service providers to delete your Personal Data from their records.
In the event of a security incident, Biormika will investigate, mitigate, and respond to the incident in accordance with applicable law and its internal security incident response procedures.
Notwithstanding the above, we may not be able to comply with request to delete your Personal Data when it is necessary for us to:
- Complete the transaction for which the personal Information was collected;
- Provide, or expect to provide within a reasonable time, a service requested by you within the context of ongoing business relationship between you and Biormika;
- Otherwise carry out a contract between you and Biormika;
- Detect security incidents, protect against malicious, deceptive, fraudulent or illegal activity, or prosecute those responsible for that activity;
- Debug and rectify errors that impair existing intended functionality;
- Exercise free speech, ensure the rights of other consumers to exercise their rights of free speech, or exercise any other right provided by law;
- Comply with the California Electronic Communications Privacy Act.
9. Use of Cookies.
When you access Biormika’s websites, the Sites may use “cookies” as a convenience feature to help you personalize and enhance your online experience. A cookie is a file that is stored on your hard drive by a web server. Cookies cannot be used to run programs or infect your computer with viruses or other malware. Cookies are uniquely assigned to you and can only be read by a web server in the domain that issued the cookie to you. You can choose to accept or decline cookies. You can also choose to disable cookies entirely in your web browser. If you choose to decline cookies, the quality of your user experience may diminish.
We may use the following types of cookies: (a) Functional cookies that remember your selections on our Sites so they are saved for your subsequent visits; (b) Analytical cookies that collect data on how you navigate on our Sites, the content accessed, and the time spent on our Sites that allow us to improve the design and functionality of our Sites; (c) Targeting cookies that collect data on how you use our Sites and your preferences that allow us to personalize the information you see on our Sites, including advertisement, or receive from Biormika; and (d) Social media that cookies are used for integration with social media platforms.
We may use both session cookies (which expire once you close your web browser) and persistent cookies (which remain on your device until they expire or are deleted). We may also use third-party cookies, which are placed by third parties for various purposes, including website advertising and social media integration.
10. Email Communications.
Biormika may contact you via email for marketing purposes of notifying you of announcements, promotional offers, surveys, or other general communication that are not related to your use of our Sites or Platform. If you would like to stop receiving such marketing emails from us, you may opt out by clicking on the ‘unsubscribe’ link in your email.
11. Research Use Only.
The Platform and Offerings are intended to support scientific, technical, and research activities. Except as expressly agreed by the parties in a separate written agreement, the Platform is not intended for clinical diagnosis, treatment decisions, patient management, the provision of medical advice or substitute for healthcare professionals.
12. Children.
The minimum age to use our website is 18 years of age. We do not knowingly collect or use Personal Data from children under 18 years of age. If we learn that we have collected Personal Data from a child under 18 years of age, the Personal Data will be deleted as soon as possible. If you are under the age of 18, you must ask your parent or guardian for permission to use our Sites.
13. Amendment.
We reserve the right to change this Policy from time to time in order to maintain compliance with the law or to reflect changes to our data collection and processing practices. When we amend this Policy, we will update the date under “Last Updated” at the top of this Policy. We may also notify you via email and by prominently displaying a notice on our Sites. We recommend that you periodically review this Policy to ensure that you are aware of any updates. You agree that your continued use of our Sites and/or Platform after such changes to the Policy will constitute your: (a) acknowledgment of the amended Policy; and (b) agreement to be bound by that Policy.
Depending on your jurisdiction, you may have rights to:
- access Personal Data;
- correct inaccuracies;
- delete Personal Data;
- obtain a copy of certain Personal Data;
- opt out of targeted advertising;
- opt out of certain profiling activities;
- appeal a denied privacy request; and
- limit use of certain sensitive personal information.
Such rights may be subject to legal exceptions.
