Biormika Website Terms of Use

Thank you for your interest in Biormika, LLC (“Biormika”, “we”, “us”, “our”) and visiting our websites https://biormika.com and https://cloud.biormika.com (“Sites”). The terms set forth here (“Terms”) govern the use of the Sites by the user (“you”).

Biormika offers a cloud-based, Software as a Service (SaaS) platform (“Platform”) for processing biologic data obtained from human subjects (“Subjects”) through multiple apps and services (collectively “Offerings”).

By accessing, browsing, or otherwise using the Sites, you affirm that: (i) you are over 18 years of age, or an emancipated minor, or possess legal parental or guardian consent; (ii) you have read and understood the Terms outline in this document; (iii) you are fully able and competent to agree to and abide by the Terms; and (iv) you have the authority to enter into these Terms personally or on behalf of the entity you represent. IF YOU DO NOT MEET THESE CRITERIA, YOU MAY NOT ACCESS OR USE OUR SITES.

1. User Account.

In order to access or use the Platform or Offerings on or through our Sites, you may need to create an account (“Account”). As part of the account sign up process, you may be asked to provide information such as your name, email address, employer, job title, as well as create a user ID and password. When you create an Account with Biormika, you agree to the following: (a) you, as an individual, are solely responsible for your Account and the security and privacy of your Account, including your user ID, password, and other sensitive information; (b) you truthfully hold any credential you state, including your address, employer affiliation, and title; (c) you have not been previously suspended or terminated involuntarily from accessing our Sites; (d) your use of our Sites is in compliance with all applicable laws, rules, and regulations, including that of your employer or organization; (e) your information is accurate and up to date and that you will update your information if it changes; (f) you will not assign or otherwise transfer your Account to any other person or entity; and (g) you understand that Biormika is not responsible for third party access to your Account that results from theft or misappropriation of your Account.

If you believe that your user ID or password is compromised, you agree to notify us immediately at info@biormika.com. Biormika may refuse to grant you a user ID or revoke your user ID after it is created for any reason at Biormika’s sole discretion, including if Biormika determines that such user ID impersonates someone else, is illegal, vulgar, or otherwise offensive, or is protected by trademark or other proprietary rights law, or otherwise may cause confusion. We reserve the right to suspend or terminate your Account if you are using our Sites unlawfully or if you violate these Terms.

2. License to Use.

Biormika grants you a non-exclusive, non-transferable, revocable license to access and use our Sites strictly in accordance with these Terms. You do not acquire any ownership rights in any protected content. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Biormika because of your agreement to use our Sites. You may copy, display, and use the functionality, materials, features, and services provided by our Sites solely for your personal, non-commercial use, provided that you do not remove copyright or proprietary notice language and do not make other modifications, representations or warranties regarding the same. Notwithstanding anything herein to the contrary, Biormika may revoke any of the foregoing rights and/or your access to our Sites, including blocking your internet protocol (IP) address, at any time without prior notice.

3. Privacy Notice.

Your use of our Sites is subject to Biormika’s Privacy Policy, which describes the collection, use, disclosure, and processing of personal information that you provide in connection with the use of our Sites. Biormika’s Privacy Policy is a part of these Terms through this reference. You must agree to Biormika’s Privacy Policy to use our Sites.

4. Research Use Only; No Medical Advice.

The Platform and Offerings are intended solely to support scientific, technical, educational, and research activities. Unless otherwise expressly agreed in a separate written agreement, the Platform is not intended for clinical diagnosis, treatment decisions, patient management, emergency medical decision-making, or the provision of medical advice.

Any information, analyses, reports, visualizations, detections, classifications, recommendations, or other outputs generated through the Platform are provided for research and informational purposes only and should not be relied upon as a substitute for professional medical judgment. Users remain solely responsible for evaluating and validating any output generated through the Platform and for determining whether such output is appropriate for their intended use.

Biormika does not practice medicine and does not provide medical services through the Sites, Platform, or Offerings.

5. Intellectual Property.

All text, content, user interfaces, illustrations, artwork, videos, sound, music, software, documents, names, logos, trademarks, service marks, brand identities, characters, trade names, graphics, designs, computer code, and any other works appearing on our Sites or included as part of the Platform or Offerings (collectively, “Materials”), including the design, organization, compilation, layout, and performance of such Materials, is the property of Biormika and protected by copyright, trademark, trade dress, patent and/or other intellectual property rights and unfair competition laws. All rights are reserved, and except as expressly provided in these Terms, nothing herein or on our Sites shall be construed as conferring any license to any intellectual property rights, whether by estoppel, implication, or otherwise. The word “Biormika” and the Biormika logos, and other marks, logos and titles are trademarks or service marks of Biormika, for which all usage rights are reserved.

6. Acceptable Use; Unlawful Use.

As a user, you agree to use our Site lawfully as per the Terms. You agree to use protected content solely for your personal use and you will make no other use of the content without the express written permission of Biormika. Use of our Site is not authorized in any jurisdiction that does not bestow full effect to all provisions of these Terms. You agree NOT to engage in the prohibited actions described herein:

A. General:

  1. Using our Sites for illegal purposes in violation of any applicable laws;
  2. Attempting to bypass or break any security mechanism on our Sites or using our Platform in any other manner that poses a security or service risk to other users;
  3. Framing the Sites or Platform or otherwise making any Materials available on other websites;
  4. Using any tradename, trademark, or brand name of Biormika in metatags, keywords, and/or hidden text;
  5. Reusing, re-posting, distributing, transmitting, disseminating, broadcasting, circulating, performing, or otherwise displaying and/or commercially exploiting the Materials, in whole or in part;
  6. Copying, modifying, translating, altering, or creating any derivative works from the Materials;
  7. Using our Sites, the Materials, and/or any portion thereof, in any manner that may give a false or misleading impression, attribution, or statement with respect to Biormika, an affiliate, a licensor, or any other third party referenced in these Terms, the Sites or the Materials;
  8. Using our Sites, the Materials, and/or any Offerings on or accessible via our Sites for any illegal, fraudulent, misleading, or deceptive purposes;
  9. Altering, removing, or obscuring any copyright notice, digital watermarks, proprietary legends, or any other notice included in the Materials;
  10. Disassembling, decompiling, reverse compiling, or reverse engineering any part of our Sites or the Materials;
  11. Using any manual or automated software, devices, or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools, or the like) to “scrape”, “deep-link”, copy, monitor, or download any portion of the Sites or Materials, or in any way reproduce or circumvent the presentation or navigational structure of the Sites or Materials;
  12. Interfering with or damaging the Sites, Platform, or Materials through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information, or similar methods or technology;
  13. Disrupting or overburdening any computer or server used to offer or support our Sites or Platform or the usage of our Sites or Platform by other persons;
  14. Uploading any content to our Sites that infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any person or entity;
  15. Uploading any content to the Platform that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, hateful, obscene, offensive, or profane;
  16. Engaging in any chain letters, contests, junk email, pyramid schemes, spamming, surveys, advertising, marketing, or other duplicative or unsolicited messages (commercial or otherwise);
  17. Committing fraud by misrepresenting yourself;
  18. Obtaining or attempting to obtain any materials or information that are not explicitly made available to you through our Sites;
  19. Making any unauthorized use of any protected content;
  20. Using automated devices, including but not limited to robots, to access or monitor our Sites.
  21. Attempting to circumvent, disable, probe, test, or interfere with the security or integrity of the Sites, Platform, or related infrastructure beyond ordinary authorized use;
  22. Using the Platform to train, fine tune, benchmark, or develop any competing product or service;
  23. Sending unauthorized email via open, third-party servers;

B. Healthcare-related:

  1. Utilizing the Platform in a way that knowingly violates HIPAA rules;
  2. Using the Sites, Platform, Offerings, or any Platform output as the sole basis for clinical diagnosis, treatment decisions, patient management, or emergency medical decision-making, prescribing decisions, or the practice of medicine;
  3. Uploading data for which you do not possess all rights, permissions, consents, approvals, and authority necessary to permit use of the Platform;
  4. Uploading data in violation of applicable research protocols, Institutional Review Board requirements, privacy laws, data protection laws, or contractual obligations.

Users and Customers are solely responsible for all content, information, data, and materials submitted through the Sites or Platform and represent and warrant that they possess all rights, permissions, approvals, authorizations, and consents necessary to upload, share, process, and otherwise use such content through the Platform.

Customer agrees to promptly take down any content that violates the acceptable use described in this section. In the event that Customer does not to comply with a request from Biormika to take down certain content, Biormika reserves the right to directly take down such Customer content or to suspend Customer’s access to our Sites or Platform.

7. Submitted Input.

Biormika does not want and cannot accept any input you consider confidential and/or proprietary. If you provide input, including comments, suggestions, ideas, notes, drawings, concepts, or other information voluntarily through our Sites or in response to solicitations on our Sites (“Feedback”), you agree that such Feedback shall be deemed non-confidential and non-proprietary, and Biormika shall be free to use such Feedback on an unrestricted basis. You further agree that you hereby grant Biormika a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, sublicense, reproduce, perform, display, distribute, adapt, modify, create derivative works of, and otherwise commercially exploit any Feedback you submit to Biormika. You acknowledge and agree that Biormika assumes no obligation of confidentiality or nondisclosure, express or implied, by receipt or consideration of your Feedback.

8. Automated Processing and Platform Output.

The Platform may utilize automated processing technologies, algorithmic analysis, machine learning models, statistical methods, signal-processing techniques, and similar computational tools to generate outputs. Such outputs may be based on assumptions, data quality, system limitations, or analytical methodologies and may contain errors, omissions, or inaccuracies.

Users are solely responsible for independently reviewing and validating any output generated through the Platform before relying on it for any purpose.

9. Links to Third-Party Sites and Third-Party Services.

Our Sites may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Biormika, and Biormika is not responsible for the contents of any Linked Site, including any link contained within Linked Sites, any changes or updates to Linked Sites, or for ensuring that the Linked Sites contain no errors or viruses. Biormika provides these links to you only as a matter of convenience, and the inclusion of any link on our Sites does not imply endorsement by Biormika of the Linked Sites or any association with its operators. Biormika is not responsible for the terms of use or privacy practices of the Linked Sites, or any link contained in or accessible through the Linked Sites. Accessing Linked Sites is entirely at your own risk, and Biormika encourages you to read the policies of each site you visit.

Certain services made available on our Site are delivered by third party sites and organizations. By using any product, service, or functionality originating from our Sites, you hereby acknowledge and agree that Biormika may share such information and data with any third party with whom Biormika has a contractual relationship to provide the requested product, service, or functionality on behalf of Biormika’s customers, and you agree to be bound by the terms of service of such third party sites.

10. Security Reporting.

If you become aware of a vulnerability, security incident, or suspected unauthorized access affecting the Sites or Platform, you agree to promptly notify Biormika. You may not exploit, disclose, distribute, publish, or publicly discuss any vulnerability without Biormika’s prior written consent.

11. International Users.

Our Sites are controlled, operated, and administered by Biormika through its offices within the USA. If you access our Sites from a location outside the USA, you agree to comply with all local laws and you will not use the content in any manner prohibited by any applicable local laws, restrictions, or regulations.

12. Changes.

Biormika reserves the right to amend the Terms from time to time in order to maintain compliance with the law and to reflect changes regarding the operation of our Sites. The most current version of the Terms shall supersede all previous versions. When changes are made, Biormika will make a new copy of the Terms available on the Site and will also update the “Last Updated” date above. Biormika encourages you to periodically review the Terms to stay informed of any updates. If Biormika makes any material changes, and you have created an Account with Biormika, we will also send you an email pursuant to the Terms. Any changes to the Terms will be effective immediately. If you disagree with the provisions of these Terms at any time, your sole remedy is to terminate your use of our Sites. Your use (or continued use) of our Sites following the posting of any revised Terms shall be deemed acceptance of the revised policy.

13. No Warranty Disclaimer.

YOUR USE OF BIORMIKA’S SITES IS AT YOUR OWN RISK. THE SITES, MATERIALS AND ALL OTHER INFORMATION OFFERED ON THE SITES, ALONG WITH ANY ADVICE OR INFORMATION (WHETHER ORAL OR WRITTEN) OBTAINED BY YOU FROM BIORMIKA, ITS EMPLOYEES, AGENTS, SUPPLIERS, OR ANY OTHER PERSONS, ARE PROVIDED “AS IS,” AND DOES NOT CREATE OR RESULT IN ANY WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BIORMIKA AND ITS AFFILIATES MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, AND SERVICE AVAILABLE ON THE SITES FOR ANY PURPOSE. BIORMIKA RESERVES THE RIGHT TO CHANGE ANY PART OF THE SITES AT ANY TIME WITHOUT NOTICE. WITHOUT LIMITING THE FOREGOING, BIORMIKA DOES NOT WARRANT THAT THE PLATFORM OR ANY OUTPUT GENERATED BY THE PLATFORM WILL BE COMPLETE, ACCURATE, RELIABLE, ERROR-FREE, SUITABLE FOR ANY PARTICULAR PURPOSE, OR APPROPRIATE FOR CLINICAL OR MEDICAL USE.

14. Liability Disclaimer.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIORMIKA OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE LOSS OR DELAY OF USE OF THE SITES OR PLATFORM, FAILURE TO PROVIDE SERVICE TEMPORARILY OR PERMANENTLY, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF BIORMIKA OR ANY OF ITS AFFILIATES HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF OUR SITES OR PLATFORM, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING OUR SITES.

15. Indemnity.

You agree to indemnify, defend, and hold harmless Biormika, its officers, directors, employees, agents, and affiliates, for any losses, costs, liabilities, and expenses, including reasonable attorney’s fees, against any claim relating to or arising out of your use of or inability to use our Sites and/or Platform.

Biormika reserves the right, at its own cost, to assume the exclusive defense of any matter otherwise subject to indemnification by you, in which case you agree to fully cooperate with Biormika in asserting any available defenses.

16. Consumer Protection Law.

In the event that any consumer protection legislation applies in your jurisdiction and it cannot be excluded, these Terms will not limit your legal rights and remedies under that legislation. These Terms will be interpreted subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and that legislation, the mandatory provisions of the legislation will apply.

17. Applicable Law.

These Terms and any dispute or claim arising out of, or related to, them will be governed by and construed in accordance with the laws of the State of Texas and the United States without regard to conflicts of law provisions thereof, and without regard to the United Nations Convention on Contracts for the International Sale of Goods. The jurisdiction and venue for actions related to the subject matter hereof will be the state and federal courts located in Travis County, Texas, and both parties submit to the personal jurisdiction of such courts.

18. Class Action Waiver.

By agreeing to the Terms, you waive the right to participate in any class action, collective action, representative action, or private attorney general action connected with the Sites, Platform, Offerings, or Materials. The Parties agree that any claim may only be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding.

By agreeing to the Terms, you waive the right to a trial by jury or to participate in any class action or representative proceeding connected with the Sites, Platform, or Materials. The Parties agree that any Party may bring claims against the other only in individual capacity, and not as a plaintiff or class member in any class, collective and/or representative proceeding, such as a private attorney general action against the other.

19. Severability.

If any of the provisions set forth in these Terms are found to be inconsistent, invalid, or unenforceable under applicable law, including but not limited to the warranty disclaimers and liability limitations set forth above, those provisions will be deemed void and will be removed from these Terms. The remaining provisions will not be affected by the removal, and the rest of these Terms will still be considered valid and enforceable.

20. Entire Agreement.

Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Biormika and it supersedes all prior communications and proposals, electronic, oral or written, between you and Biormika. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

21. Headings.

Headings are inserted for the convenience only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa.
